End-User License Agreement

1. Definitions

"Software" refers to the Whispry application for macOS, including all updates, patches, and documentation.

"Licensor" refers to Whispry and its developers.

"You" or "Licensee" refers to the individual or entity that has purchased a license to use the Software.

"Device" refers to a single macOS computer on which the Software is installed.

2. Grant of License

Subject to the terms of this EULA, Licensor grants you a non-exclusive, non-transferable, perpetual license to:

• Install and use the Software on up to two (2) Devices that you own or control
• Make one backup copy of the Software for archival purposes
• Receive free updates to the Software for the lifetime of the product

3. License Restrictions

You may NOT:

• Copy or distribute the Software to any third party
• Sell, rent, lease, or sublicense the Software or your license
• Transfer your license to another person or entity
• Modify, adapt, or create derivative works based on the Software
• Reverse engineer, decompile, or disassemble the Software
• Remove or alter any proprietary notices or labels
• Use the Software on more than two (2) Devices simultaneously
• Circumvent any license validation or copy protection mechanisms
• Share your license code publicly or with others

4. Device Activation

The Software requires license activation to verify your license. Each license permits activation on up to two (2) Devices. If you need to transfer your license to a new device:

1. Deactivate the Software on the old device (if accessible)
2. Activate on the new device

If you cannot deactivate a device (e.g., it was lost or replaced), contact support@getwhispry.live for assistance.

5. Intellectual Property

The Software and all copies thereof are proprietary to Licensor and title thereto remains exclusively with Licensor. The Software is protected by copyright laws and international treaties. You acknowledge that no title to the intellectual property in the Software is transferred to you.

All rights in the Software not specifically granted in this EULA are reserved to Licensor.

6. Third-Party Components

The Software incorporates certain third-party components, including but not limited to:

• Whisper.cpp: MIT License - Speech recognition engine
• OpenAI Whisper models: MIT License - AI models for transcription

Use of these components is subject to their respective licenses, which can be found in the Software's documentation or about section.

7. Updates and Support

Licensor may provide updates to the Software at its discretion. You agree that the Software may automatically check for updates and download and install them. Updates are subject to the terms of this EULA unless accompanied by a separate license agreement.

Support is provided via email at support@getwhispry.live. We will make reasonable efforts to respond to support requests, but response times are not guaranteed.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

Licensor does not warrant that:

• The Software will meet your requirements
• The Software will be uninterrupted, timely, secure, or error-free
• The results obtained from use of the Software will be accurate or reliable
• Any errors in the Software will be corrected

Transcription accuracy depends on audio quality, accent, background noise, and other factors beyond our control.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the Software, even if Licensor has been advised of the possibility of such damages.

In any case, Licensor's entire liability under any provision of this EULA shall be limited to the amount actually paid by you for the Software.

10. Indemnification

You agree to indemnify, defend, and hold harmless Licensor from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of the Software
• Your violation of this EULA
• Your violation of any rights of another party
• Any content processed through the Software

11. Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any of its terms.

Upon termination:

• You must stop using the Software
• You must destroy all copies of the Software in your possession
• Sections 5, 8, 9, 10, 12, and 13 survive termination

Licensor may also terminate this EULA if you engage in license abuse, fraud, or other violations.

12. Governing Law

This EULA shall be governed by and construed in accordance with the laws of Poland, without regard to its conflict of law provisions. Any legal action arising out of this EULA shall be brought exclusively in the courts of Poland.

13. Entire Agreement

This EULA constitutes the entire agreement between you and Licensor concerning the Software and supersedes all prior or contemporaneous oral or written communications, proposals, and representations.

If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14. Amendments

Licensor reserves the right to modify this EULA at any time. Modifications will be effective upon posting to our website. Your continued use of the Software after modifications constitutes acceptance of the modified EULA.
